Note: These Terms & Conditions are subject to legal review prior to the platform's public launch. By using bid4bed, you agree to be bound by the version in effect at the time of your use.

1. About bid4bed

bid4bed (“we”, “us”, or “the Platform”) is an online hotel booking marketplace operated by bid4bed LLC, 8 The Green, Suite A, Dover, DE 19901, USA. bid4bed connects travelers (“Guests”) with hotels and other accommodation providers (“Hotels”) through a single-offer matching system. bid4bed acts solely as an intermediary and is not a party to the accommodation contract between a Guest and a Hotel.

2. The bid4bed Bidding Model

2.1 One-Shot Principle

bid4bed operates on a strict one-shot bidding model. There is no negotiation, no counter-offers, and no back-and-forth between Guests and Hotels.

  • A Guest submits a bid request specifying destination, dates, number of guests, rooms, and a maximum price per room per night. This constitutes an invitatio ad offerendum — an invitation to Hotels to make offers, not a binding commitment by the Guest.
  • Matching Hotels receive the bid request and may submit one offer at or below the Guest's stated maximum price. Hotels may differentiate their offer by including complimentary extras (e.g. breakfast, room upgrade, late checkout). An offer remains revocable by the Hotel until the Guest accepts it and payment is authorized.
  • The Guest reviews all offers and selects one, or declines all offers without obligation.
  • A binding contract between Guest and Hotel is formed only upon the Guest's selection and successful payment authorization via Stripe.

2.2 Opaque Booking During Bidding

To ensure rate parity compliance, hotel identities are concealed during the bid submission phase. While Hotels are responding to a bid request, the Guest does not see any hotel names or brands. Once Hotels have submitted their offers and the Guest opens the offers screen, the full hotel identity — including name, photos, star rating, and reviews — is revealed for each offer as a card. The Guest can then make an informed decision and select a hotel to book. The booking itself is therefore not opaque: the Guest knows exactly which hotel they are booking before confirming.

2.3 No Obligation to Accept

Guests are never obligated to accept any offer. Submitting a bid request does not create a payment obligation. Payment is only initiated when a Guest explicitly selects an offer and completes the checkout process.

3. Payment & Stripe Authorization

3.1 Authorization Hold

When a Guest selects a hotel offer and completes checkout, bid4bed instructs Stripe to place an authorization hold on the Guest's payment method for the full booking amount. This hold reserves the funds but does not constitute a charge. The Guest's available credit or balance will be reduced by the authorized amount until the hold is either captured or released.

3.2 Capture

The authorization is captured (i.e., the actual charge is made) as follows:

  • For bookings confirmed without a conflict: automatically 48 hours before the check-in date, or at the time of booking if check-in is within 48 hours.
  • bid4bed reserves the right to adjust the capture schedule and will notify Guests of any changes.

3.3 Release of Authorization

Authorization holds are released immediately in the following circumstances:

  • The Guest declines all offers and no booking is created.
  • A Hotel reports a confirmed availability conflict within the applicable conflict window (see Section 5).
  • The booking is cancelled by the Guest in accordance with the applicable cancellation policy.

Please note that the time for a released authorization to reflect on your account statement is determined by your bank or card issuer and is typically 1–5 business days. bid4bed has no control over this timeline.

3.4 Platform Fee

bid4bed charges a service commission to Hotels on each completed booking. This commission is not charged to Guests. The price presented to the Guest in any offer is the final price the Guest pays — no hidden fees are added at checkout.

4. Hotel Obligations

4.1 Availability Guarantee

By submitting an offer on bid4bed, a Hotel guarantees the availability of the offered room type for the specified dates at the stated price. The offer is binding upon the Hotel from the moment it is submitted until either:

  • The Guest selects a different Hotel's offer and the conflict window has expired (at which point the non-selected Hotel receives an OUTBID notification), or
  • The offer expires per its stated expiration date.

4.2 One-Shot Commitment

Hotels may submit one offer per bid request. The offer price must not exceed the Guest's stated maximum price. Offers above the maximum price are technically blocked by the Platform and will not be accepted.

4.3 Consequences of Repeated Conflicts

bid4bed monitors availability conflicts reported by Hotels. Hotels that repeatedly cancel confirmed bookings may be subject to ranking penalties, temporary suspension, or permanent removal from the Platform. bid4bed reserves the right to apply these measures at its sole discretion to protect Guest experience.

5. Availability Conflicts & Guest Fallback Protection

5.1 Conflict Window

After a Guest confirms a booking, bid4bed maintains a conflict window during which the selected Hotel may report that it cannot fulfill the booking. The duration of this window is dynamically set based on the proximity of the check-in date:

Default windows may be adjusted by bid4bed at any time. The applicable window is determined at the time of booking.

5.2 Binding Booking After Window Expiry

Once the conflict window has closed without a conflict report, the booking is binding on the Hotel. No further conflicts can be reported through the Platform. If an issue arises after this point, the Guest should contact bid4bed support directly.

5.3 Fallback Offers

When a Guest confirms a booking, all other Hotel offers from that same bid request are placed in a suspended state rather than immediately invalidated. If the selected Hotel reports a conflict within the conflict window:

  • The Guest's payment authorization is immediately released.
  • All previously suspended offers are reactivated for the Guest to choose from, with a 24-hour decision window.
  • Any Hotels that had not yet responded to the original bid request may still submit offers, as the bid is returned to active status.
  • The Guest is notified by email and in-app notification with clear next steps.

6. Cancellations & Refunds

Cancellation policies vary by Hotel and are displayed on the offer detail screen prior to booking. By accepting an offer, the Guest agrees to the cancellation policy stated in that offer. General principles:

  • If a booking is cancelled before the authorization is captured, the hold is released and no charge occurs.
  • If a booking is cancelled after capture, the Hotel's stated cancellation policy applies. Refunds are processed via Stripe and subject to the same 1–5 business day bank processing time.
  • In the event of a Hotel-initiated conflict (Section 5), a full release or refund is provided automatically — no action is required from the Guest.

7. Accounts & Eligibility

  • You must be at least 18 years old to use bid4bed.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • One person may not maintain multiple Guest accounts. Duplicate accounts may be terminated.
  • bid4bed reserves the right to suspend or terminate accounts that violate these Terms.

8. Limitation of Liability

bid4bed acts as a marketplace intermediary. We are not responsible for the quality, safety, legality, or availability of any accommodation listed on the Platform. To the maximum extent permitted by applicable law:

  • bid4bed's total liability to any Guest for any claim arising from a single booking shall not exceed the total amount paid by the Guest for that booking.
  • bid4bed is not liable for indirect, incidental, special, or consequential damages including lost profits, travel costs, or other expenses arising from a Hotel's failure to perform.
  • Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Intellectual Property

All content on bid4bed — including trademarks, logos, software, and design — is the property of bid4bed LLC or its licensors. You may not copy, reproduce, or distribute any content without prior written permission.

10. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), seated in Delaware. The Guest waives the right to participate in a class action lawsuit or class-wide arbitration.

12. Changes to These Terms

bid4bed reserves the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
